Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you (the individual or organization accessing or using the Services) and Ribix. They govern your access to and use of ribix.dev, the Ribix dashboard, the Ribix GitHub App, CLI and API workflows, waitlist or contact forms, optional workspace integrations, and related documentation and services (collectively, the "Services"). By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • "Account" – the login credentials and associated workspace created through GitHub OAuth to access the Services.
  • "Workspace" – the organizational unit inside the dashboard that holds your repositories, enrichment history, settings, connected workflows, and billing information.
  • "GitHub App" – the Ribix GitHub App you install on a GitHub organization or personal account to grant the Services access to repositories and issues.
  • "Enrichment" – the AI-generated analysis (for example likely cause, suspect change, severity label, suggested owner, candidate files, or related issues) posted by Ribix as a comment on a GitHub Issue.
  • "User Content" – any data, text, code references, or other material you or your repositories or connected systems transmit to the Services, including issue text, repository metadata, prompts, investigation notes, and integration data you choose to connect.
  • "Subscription" – a paid plan granting access to features beyond any free tier, as described on the pricing page.

2. Eligibility

You must be at least the age of majority in your jurisdiction (typically 18) to use the Services. If you use the Services on behalf of an organization, you represent and warrant that (a) you have authority to bind that organization to these Terms, and (b) the organization agrees to these Terms. If you lack that authority, do not use the Services on the organization's behalf.

3. Description of Services; Beta and Pre-GA Features

Ribix provides software-as-a-service tooling that analyzes GitHub Issues, repository history, pull requests, and optional connected workflow data to produce structured Enrichments and related investigation outputs across the dashboard, CLI, PR intelligence, and incident-analysis surfaces. Some or all features may currently be designated as beta or early access. Beta features:

  • are provided for evaluation and feedback and may change without notice;
  • are not subject to uptime, accuracy, or support SLAs unless separately agreed in writing;
  • may be discontinued or materially altered at any time.

Nothing on the site constitutes a binding offer to sell a production-grade service until Ribix provides a separate order form, subscription agreement, or checkout flow that explicitly says otherwise.

4. Accounts and Workspaces

Registration. You may create an Account either by registering with email and password or by authenticating via GitHub OAuth. If you use GitHub OAuth, you authorize us to retrieve your GitHub profile information needed to provision and manage your Account.

Account security. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. Notify us immediately at mindcore.official.dev@gmail.com if you suspect unauthorized access.

Accuracy. You agree to provide accurate, current, and complete information and to keep your Account information up to date.

One Account per person. Do not create multiple Accounts for the same individual to circumvent usage limits or billing.

5. GitHub App, Repository Access, and Optional Integrations

Installation. Ribix's core functionality requires installation of the Ribix GitHub App. Installation grants Ribix read access to issues, pull requests, commits, and repository metadata, and write access to post comments on issues, exactly as disclosed in the GitHub App permission screen during installation. No broader access is requested or used.

Your responsibility. You are responsible for ensuring that installing the GitHub App on your organization complies with your organization's policies, employment agreements, and any applicable open-source licenses. Ribix does not independently verify whether you are authorized to install the App on a given repository or organization.

Revoking access. You may revoke the GitHub App at any time through GitHub's organization settings. Upon revocation we will stop processing new events from those repositories. Previously processed data may be retained per our Privacy Policy.

Optional integrations. Some workflows may allow you to connect additional systems such as Slack, Discord, Linear, or Jira for incident analysis and related engineering context. You are responsible for ensuring you have the authority to connect and process data from those systems on behalf of your organization.

6. AI-Generated Enrichments and Analysis Outputs

Enrichments and related analysis outputs are generated in part by machine-learning models and are probabilistic estimates, not guaranteed facts. Ribix makes no warranty as to their accuracy, completeness, or fitness for any purpose. Specifically:

  • Causal commit attributions, severity labels, and owner suggestions may be wrong and must be verified by a qualified engineer before action is taken;
  • Enrichments are not legal, security, financial, or compliance advice;
  • You are solely responsible for any decisions made based on Enrichments, including bug prioritization, incident response, and engineer assignment.

7. Acceptable Use

You agree not to, and not to allow others to:

  • Violate any applicable law, regulation, or third-party rights;
  • Analyze repositories you are not legally authorized to access or whose owners have not consented to third-party AI processing;
  • Reverse-engineer, decompile, or attempt to extract Ribix's AI models, scoring algorithms, or proprietary components;
  • Use the Services to process health data, biometric data, or other sensitive personal information unrelated to legitimate software engineering;
  • Probe, scan, or test the Services for vulnerabilities without explicit written authorization from Ribix;
  • Overload or disrupt the Services via DoS attacks, excessive API calls beyond documented rate limits, or automated scraping;
  • Create multiple Accounts to bypass quotas, authentication, or billing;
  • Resell or sublicense access to the Services to third parties without Ribix's prior written consent.

8. Subscriptions, Fees, and Payment

Current status. The Services are currently in pre-launch or early access. Paid Subscriptions will be announced separately and are subject to pricing shown at checkout.

Fees. Fees are stated in USD and are exclusive of taxes unless noted otherwise. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

Billing and renewal. Subscriptions renew automatically unless cancelled before the renewal date. You are responsible for maintaining accurate billing information. Failed payments may result in suspension.

Refunds. Unless required by law, fees are non-refundable. We may issue refunds at our sole discretion or as stated in a separate order form.

Taxes. You are responsible for all applicable taxes, duties, and levies (excluding taxes on Ribix's net income).

9. Intellectual Property

Ribix IP. The Services, including software, AI models, user interface, brand assets, and documentation, are owned by Ribix or its licensors and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Services.

License to use. Subject to these Terms, Ribix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your Account or Subscription.

Your IP. You retain all intellectual property rights in User Content. You grant Ribix a worldwide, royalty-free license to access, process, store, and use User Content solely to provide and improve the Services, as described in our Privacy Policy.

Feedback. Any feedback, suggestions, or ideas you provide ("Feedback") are granted to Ribix on an irrevocable, royalty-free, perpetual basis and may be incorporated into the Services without obligation to you.

10. User Content

You are responsible for ensuring that User Content you submit or authorize Ribix to process (including issue text, repository content, prompts, connected-system data, and configuration data) complies with applicable law and does not infringe third-party rights. Ribix does not pre-screen all User Content but reserves the right to remove content or suspend access when needed to enforce these Terms, protect the Services, or comply with law.

11. Confidentiality

Each party agrees to keep confidential the other party's non-public information that is designated confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Confidentiality does not apply to information that: (a) becomes publicly available without breach; (b) was already known to the recipient; (c) is independently developed without use of the disclosing party's information; or (d) must be disclosed by law, with prompt notice where legally permitted.

12. Third-Party Services and Links

The Services integrate with third-party platforms including GitHub, OpenAI, Supabase, Vercel, Railway, Stripe, and optional customer-connected workflow tools. Your use of any third-party service is governed by that service's own terms, not these Terms. We are not responsible for the availability, accuracy, or practices of third-party services. 13. DMCA / Copyright Infringement

If you believe content posted through the Services infringes your copyright, send a written notice to mindcore.official.dev@gmail.com including: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) a good-faith belief statement; (e) a statement of accuracy under penalty of perjury; and (f) your signature.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ENRICHMENTS WILL BE ACCURATE OR RELIABLE; OR (C) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIBIX AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS INTERRUPTION.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) USD $100, OR (B) THE TOTAL FEES PAID BY YOU TO RIBIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN THOSE CASES, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You will defend, indemnify, and hold harmless Ribix and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; (d) your violation of applicable law or third-party rights; or (e) unauthorized installation of the GitHub App on a repository or organization you do not control.

17. Term and Termination

Term. These Terms are effective from your first access to the Services.

Termination by you. You may stop using the Services at any time and may request Account or Workspace closure by contacting us or using any self-serve closure flow we make available. Closure terminates access and triggers data deletion per our Privacy Policy.

Termination by us. We may suspend or terminate your Account for breach of these Terms, non-payment, extended inactivity, or discontinuation of the Services.

Survival. Sections relating to IP, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

18. Data Processing

Our collection and use of personal data is described in our Privacy Policy, incorporated here by reference. If your use involves processing personal data of EU/EEA data subjects on your behalf, you may request a Data Processing Agreement (DPA) at mindcore.official.dev@gmail.com. Current public trust material is available at our Security page.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law principles, except where local consumer protection laws require otherwise.

Informal resolution. Before filing a formal claim, contact us at mindcore.official.dev@gmail.com and give us 30 days to resolve informally.

Jurisdiction. Disputes that cannot be resolved informally shall be brought exclusively in the state or federal courts of Delaware. Both parties consent to personal jurisdiction there, subject to mandatory local consumer protections.

Class action waiver. To the extent permitted by law, all claims must be brought individually. Class-action claims against Ribix are waived.

20. Changes to These Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to your Account address, in-app notification, or prominent site notice. Your continued use of the Services after the effective date constitutes acceptance. To reject updated Terms, stop using the Services and request Account closure before the effective date.

21. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any signed order forms, constitute the entire agreement between you and Ribix relating to the Services.

Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary, and all other provisions remain in force.

Assignment. You may not assign these Terms without Ribix's prior written consent. Ribix may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays caused by circumstances beyond their reasonable control, including natural disasters, governmental actions, or internet disruptions.
